基于SEM模型的科技企業控制權配置對企業成長性影響的路徑分析

摘 要：以兩權分離環境為背景，依據科技企業特征，采取2018年創業板中科技企業數據為樣本，構建了分析控制權配置對企業成長性影響路徑的SEM模型，通過驗證性因子分析對觀測變量與潛變量之間的關系進行驗證，并對研發活動在路徑中的中介作用提出假設和研究。實證結果表明：股權結構對企業成長性具有正向影響;股權激勵對企業成長性具有正向影響;研發活動在控制權配置與成長性關系中具有中介作用。

Research on influence paths of control right allocation listed growth

Abstract：Taking the separation environment of the two rights as the background， according to the characteristics of the science and technology enterprises， and taking the 2018 gem science and technology enterprise data as the sample， the structural equation model is constructed to analyze the influence of the allocation of control rights on the growth of the enterprise. The relationship between observation variables and latent variables is verified by confirmatory factor analysis， and the intermediary role of R&D activities in the path is studied in the model. The empirical results show that： ownership structure has a positive impact on the growth of enterprises; equity incentive has a positive impact on the growth of enterprises; R&D activities play an intermediary role in the relationship between the allocation of control rights and growth.

目前，我國以企業為創新發展主體，為改善科技企業融資約束已經開始推行科創板與注冊制，從改革機制建設為技術進步與研發創新提供良好生態環境。然而，與市場環境升級并進的是資本市場上企業控制權與所有權的深度分離，對于科技企業成長情況的評估和分析從對企業市場價值的衡量逐漸轉移到更能體現企業未來發展的方向。

科技產業的高速發展同時意味著我國科技企業面臨著更為激烈和苛刻的市場競爭環境。重壓之下，中國科技企業需要確定企業發展戰略，在發展過程中保持戰略定力，通過優化結構和提高效率來推動建設企業的核心競爭力，實現質量與數量齊頭并進的成長態勢。然而，在企業內部中因兩權分離而產生的控制權爭奪問題逐漸成為企業成長的阻礙，控制權收益即是導致控制權爭奪現象發生的最大動因，也是優化控制權配置的出發點?！?br>
