河南省國有資本授權經營體制改革研究

[摘 要] 十八屆三中全會之后，國家提出“以管資本為主加強國有資產監管，改革國有資本授權經營體制”，河南省在此政策導向下對國有資本授權經營體制也進行了初步研究和路徑探索。其中有部分觀點提出分行業設立兩類公司的初步構想，這一構想目前還未形成任何政策性文件，只限于討論商榷層面。本文針對這一思路，提出不同觀點，認為分行業設立兩類公司不利于發揮國有資本的集中優勢和開放式經營，以及合理組合規避風險。同時，提出了在市場化改革方向中，擬構建的國有資本授權經營體制下，國資監管部門、兩類公司與國有企業該如何重新定位的思考。

Abstract：After the Third Plenary Session of the eighth Central Committee of the Communist Party of China， the state proposed " strengthen the state-owned assets supervisionand administrationfocusing on regulatory capital， and reform thestate-owned capital authorized management system"， Henan Province，under the guidance of this policy，has also carried on the preliminary research and path exploration onthe state-owned capital authorized management system.Some of them put forward the preliminary idea of establishing two kinds of companies in theindustry. This idea has not yet formed any policy document， which is restricted to the discussion. In this paper， we put forward different views，believing that the establishment of two types of companies in the industry is not conducive to perform the integratedadvantage and open operationof state-owned capital， as well as risk aversionvia reasonable combination. At the same time， this paper puts forward the thinking of how to reposition the state-owned assets supervision department， the two kinds of companies and state-owned enterprisesunder the market oriented reform directionand the state-owned capital authorized management system.

十八大三中全會之后，明顯感覺到本屆政府堅定而漸進的市場化改革方向愈加突顯，全面深化改革的步伐正在穩步推進。國有資本授權經營體制改革是全面深化改革的一項重要舉措，也是一直以來備受關注的研究對象。而組建或改組成立國有獨資的國有資本投資公司和運營公司，是本輪改革的一大新政策和亮點。河南省在制訂兩類公司的組建方式、管理模式等方面進行了初步研究與探索，擬選擇個別企業先行先試，逐步推進。

1 兩類公司的初步認識

按照一般的解釋，兩類公司是國家授權經營國有資本的公司制企業;其經營模式是以投資融資和項目建設為主，通過投資實業擁有股權，通過資產經營和管理實現國有資本保值增值，履行出資人監管職責。……
